SUBMISSIONS

If you have a pitch for River Road Films please read the following terms.

 

This Submission Release (“Release”) is entered into as of the date of signature below by and between River Road Films Ltd. (“Company”) and the undersigned individual or entity (“Contributor”) in connection with Contributor’s submission of materials relating to the project  described below.

1. Submission of Materials: Contributor wishes to submit to Company certain ideas, concepts, proposals, formats, stories, access opportunities, research, or other creative materials relating to the Project (collectively, the “Materials”) for consideration in connection with documentary production.

2. Voluntary Submission / No Confidential Relationship. Contributor acknowledges that the Materials are submitted voluntarily. Company has no obligation to treat the Materials as confidential, and no confidential, fiduciary, partnership, joint venture, or agency relationship is created by this submission.

3. Independent Development: Contributor acknowledges that Company may already be developing, may in the future develop, or may receive from others, ideas or materials that are similar to or identical with the Materials. Company’s consideration of the Materials does not limit or restrict Company’s independent development activities, and similarity alone shall not give rise to any claim.

4. 60-Day Review Period. Company shall have sixty (60) days from receipt of the Materials to notify Contributor in writing whether it elects to further explore the Project. If Company confirms its interest within such period, the parties may enter into good faith negotiations regarding a separate written development agreement. If Company declines in writing or does not respond within the sixty (60) day period, Contributor shall be free to submit the Project elsewhere. For certainty, no option, rights grant, attachment, compensation, or obligation shall arise unless and until a separate written agreement is executed by both parties.

5. No Compensation: Contributor acknowledges that they are not entitled to any compensation, credit or other consideration in connection with the Materials unless and until a separate written agreement is executed.

6. Ownership: Contributor retains ownership of the Materials unless and until a separate written agreement provides otherwise. Submission of the Materials does not transfer any ownership rights to Company.

7. Representation and Warranty. Contributor represents and warrants that (a) Contributor has the right to submit the Materials, (b) Contributor controls or has the right to present any underlying story, access, relationships or materials described; and (c) the Materials do not infringe the rights of any third party. Contributor agrees to indemnify and hold harmless Company from any claims arising from a breach of these representations.

8. Release and Limitation of Remedy: Contributor hereby releases Company, its affiliates, officers, employees, and representatives from any claims arising from Company’s use of materials similar to or independently developed in relation to the Materials. Contributor agrees that their sole remedy for any claim arising from this submission shall be an action at law for money damages, and Contributor waives any right to seek injunctive or equitable relief that would interfere with the development, production, distribution, or exploitation of any Company project.

9. Entire Agreement: This Release constitutes the entire understanding between the parties regarding the Materials and supersedes any prior discussions or agreements related thereto.

By signing below, Contributor acknowledges that they have read, understood, and agree to the terms of this

Release.
